A. Under the 2006 Act the Memorandum of Association is a static document that will be completed with the subscriber’s details. It will state that they wish to form a company, agree to become members and will take at least one share, if the company is limited by shares. Each subscriber will also authenticate the Memorandum. Due to the content of this information there will no longer be a need to update the Memorandum. However, companies will still need to file updated Articles whenever a change is made to their constitution.
