A. Rule 1.7 of the New York Rules of Professional Conduct (“Rules”), 22 N.Y.C.R.R §1200.7, governs the answer to this question. Rule 1.7(a) provides in pertinent part that except as permitted by Rule 1.7(b) (discussed below), “a lawyer shall not represent a client if a reasonable lawyer would conclude that . . . the representation will involve the lawyer in representing differing interests.” Rule 1.7(a)(1). Even when two or more clients have “differing interests,” the affected clients may be able to waive the conflict and consent to the attorney’s simultaneous representation.
