47.1 Treasury Shares are shares of stock issued and subsequently acquired by the corporation and neither cancelled nor retired following such acquisition. 47.2 Such shares are included in the total number of shares issued but are not deemed outstanding for voting, quorum or dividend purposes. 47.3 Treasury shares are typically utilized for sales to employees under stock option plans, for future sales to the public, for effecting corporate acquisitions or as stock dividends for shareholders.
