Does Canada have a Reg-S (Regulation S) equivalent?

Regulation S, promulgated under the Under the U.S. Securities Act of 1933, provides for an exemption from registration of a securities offering if the offering is made to “non-US persons” and the security doesn’t “come to rest in the US”. Thanks.
