Businesses incorporated in New York State must have the permission of the state in order to dissolve. In order to dissolve your corporation, you must first obtain the consent of the State Tax Commission by calling 1-800-327-9688 then follow their directions. Once you have the consent of the State Tax Commission, you should forward two copies of the consent, a completed Certificate of Dissolution form and the $60 filing fee to the Department of State, Division of Corporations, 41 State Street, Albany, NY 12231.
