Yes. A company must notify NASDAQ Corporate Data Operations using the appropriate form no later than 10 calendar days prior to the record date of such action. The company should use either the Notification: Cash Dividend/Distribution for cash or other distributions in cash or the Notification: Non-Cash Dividend/Distribution for non-cash distributions (for example, stock splits and dividends, spin-offs or rights offerings). This notification should be provided as soon as possible after declaration and in any event, no later than simultaneously with the public notice. Failure to notify NASDAQ of dividend actions or stock distributions may result in the issuance of a deficiency notification. The company must also provide public notice of a dividend action or stock distribution using a Regulation FD compliant method. Appropriate notification of the public disclosure must also be provided to NASDAQ MarketWatch though the Electronic Disclosure System.
