Any agreement between UCSF and an outside third party (whether a fee-for-service contract or a no-fee partnership) is, in fact, a contract which represents obligations for both parties. Any failure to meet those obligations can result in exposure of UCSF to liability and loss. RMIS works with UCSF staff to assess the risks presented by various types of contracts and craft provisions which protect UCSF’s interests. Typically, those provisions may involve contract language regarding “indemnification” (or an agreement to hold harmless or defend the other party) as well as insurance requirements (for the other party). Campus Procurement and Business Contracts must approve any contract for indemnification or insurance requirements.
